Terms and Conditions
These terms apply to your use of bmtverse.com and to services provided by BMT Verse. Please read them carefully.
1. About us and these terms
BMT Verse means BMT VERSE LLC (United States) and BMT VERSE LTD (United Kingdom). The company that provides your services is the one named in your proposal or agreement. By using this website or our services, you agree to these terms. If a signed proposal or agreement with you says something different, that document takes priority for the services it covers.
2. Our services
We provide e-commerce store setup and management, marketplace operations, advertising management, website development, domain and hosting setup, blogging and SEO, video production, channel management, and growth and monetization consulting. The exact scope, deliverables, timeline and fees for your project are set out in a written proposal or agreement.
3. Quotes and payment
Quotes are valid for 30 days unless stated otherwise. Fees, payment schedule and currency are set out in your proposal. Unless agreed otherwise, monthly services are billed in advance and one-time projects require a deposit before work starts. Fees already paid for work that has been delivered or started are not refundable, except where the law requires or your agreement says otherwise. Late payments may lead to work being paused.
Third-party costs, such as advertising spend, marketplace and platform fees, domain and hosting fees, software subscriptions, shipping and warehouse charges, are paid by you and are not included in our fees unless your proposal says so.
4. No guarantee of results
Online results depend on many things outside our control, including your products and prices, market demand, competition, budgets and the decisions of third-party platforms. We do not guarantee any specific sales, revenue, rankings, traffic, return on ad spend, account or payment-gateway approvals, or monetization. We do guarantee that we will provide our services with reasonable skill and care.
5. Third-party platforms
Many of our services depend on platforms such as Amazon, Walmart, eBay, Shopify, Meta, Google, TikTok and YouTube. These platforms set their own rules, can change them at any time and make their own decisions on approvals, suspensions, reach and monetization. We are not responsible for their decisions, outages or policy changes. We follow each platform’s policies and may decline or stop work that would break them.
6. Your accounts and ownership
Accounts we create or manage for you, including stores, seller accounts, advertising accounts, domains, websites and social media channels, are registered in your name or your company’s name and belong to you. You give us access using the platforms’ permission systems and you can remove it at any time. We never sell, rent or transfer marketplace accounts, social media accounts or channels.
7. Your responsibilities
- Give us accurate information and documents, and keep them up to date.
- Make sure your products, content and business activities are legal and that you have the rights to any materials you give us.
- Reply to our questions and approve work within a reasonable time. Delays on your side may move timelines.
- Keep your own login details secure, and keep backups of important information.
- Comply with the laws and platform rules that apply to your business.
8. Use of AI tools
We may use artificial intelligence tools to help with research, writing, images, video and voiceovers. Our team reviews and edits this work. You should review deliverables before publishing them, and you are responsible for final approval of content published under your name.
9. Intellectual property
Once you have paid in full, you own the final deliverables we create specifically for you, such as your website content, designs, listings and videos, except for third-party materials (such as licensed fonts, stock media or software) which remain subject to their own licences. We keep ownership of our own methods, templates, tools and know-how. Unless you ask us not to, we may describe the type of work we did for you in general terms, without naming you or sharing confidential details.
10. Confidentiality
Both of us will keep the other’s confidential information private and use it only for the purpose of working together. This does not apply to information that is already public, that was already known, or that must be disclosed by law. This obligation continues for two years after our work together ends.
11. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, or for loss of profits, revenue, data or business opportunity. Our total liability to you for any claim related to our services is limited to the fees you paid us for those services in the three months before the claim. Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
12. Indemnity
You agree to cover our reasonable losses and costs arising from claims caused by your products, your content or materials you provided, your instructions, or your breach of the law or platform rules.
13. Ending our work together
Either of us may end ongoing services by giving the notice period set out in your proposal, or 30 days’ written notice if none is stated. We may pause or end services immediately if fees are unpaid, if you break these terms, or if continuing would break the law or a platform’s rules. When services end, you pay for work done up to that date, and we help you take over your accounts and files.
14. Website use
You may use this website for lawful purposes only. You must not try to gain unauthorised access, introduce malicious code, copy large parts of the site, or interfere with its operation. Website content is provided for general information and may change without notice.
15. Governing law
Where your services are provided by BMT VERSE LLC, these terms are governed by the laws of the State of North Carolina, USA. Where your services are provided by BMT VERSE LTD, these terms are governed by the laws of England and Wales. Before starting any formal dispute, both of us agree to try to resolve it by good-faith discussion.
16. Changes to these terms
We may update these terms from time to time. The latest version is always on this page with its effective date. Changes do not affect services already agreed in a signed proposal unless both of us agree.
